RulesonAdministrationofRepresentativeOfficesofForeignInsuranceInstitutions

ChapterIGeneralProvisions

Article1

TheserulesareformulatedinaccordancewiththeInsuranceLawofthePeople’sRepublicofChina,andforthepurposeofstrengtheningtheadministrationofrepresentativeofficesofforeigninsuranceinstitutions(hereinafterreferredtoas“representativeoffices”),andmeetingtheneedsoftheopeningupofChina’sinsurancemarkettotheoutsideworld.

Article2

Foreigninsuranceinstitutionshereofreferredtointheserulesarethoseinsurancecompanies,reinsurancecompanies,insuranceintermediaries,insuranceassociations,andotherinsuranceorganizationsincorporatedoutsidetheterritoryofthePeople’sRepublicofChina.

RepresentativeofficeshereofreferredtointheserulesarebothrepresentativeofficesandgeneralrepresentativeofficesestablishedbyforeigninsuranceinstitutionswithinChineseterritoryforthepurposeofconductingsuchnon-operationalactivitiesasliaisonserviceandmarketresearchetc.

ChiefRepresentativehereofreferredtointheserulesistheprincipalresponsiblepersonoftherepresentativeoffice,andthegeneralrepresentativeistheprincipalresponsiblepersonofthegeneralrepresentativeoffice.

Article3

RepresentativeofficesshallabidebyChineselawsandregulationsandrelatedregulationsmadebyChinaInsuranceRegulatoryCommission(hereinafterreferredtoas“CIRC”)andtheirlegitimaterightsandinterestsareprotectedbyChineselaws.

Article4

CIRCisauthorizedbylawandtheStateCounciltoperformregulatoryresponsibilitiesovertherepresentativeoffices.

UndertheauthorizationscopeofCIRC,thelocalbranchofficesofCIRCtakegeneralregulationofthoserepresentativeofficesthatarelocatedintheirjurisdictionsonbehalfofCIRC.

ChapterⅡApplicationandEstablishment

Article5

Foreigninsuranceinstitutions(hereinafterreferredtoas“theapplicant”)applyingtoestablisharepresentativeofficeshallsatisfythefollowingrequirements:

(1)Goodbusinessperformance;

(2)Norecordofanymajorviolationoflawsandregulationswithinthreeyearspriortotheapplicationdate;

(3)OtherprudentialrequirementsstipulatedbyCIRC.

Article6

TheformalapplicationformfortheestablishmentofrepresentativeofficeisprovidedbyCIRC.

Article7

Theapplicantshallsubmitthefollowingdocuments:

(1)Theformalapplicationform;

(2)AletterofapplicationaddressedtotheChairmanofCIRCandsignedbyitsChairmanoftheBoardofDirectorsorGeneralManageroftheconcernedinsuranceinstitution;

(3)Aphotocopyofthebusinesslicenseorthecertificateofauthorizationforinsurancebusiness,ortheregistrycertificateissuedbytherelevantregulatoryauthoritiesofitshomecountryorterritory;

(4)ArticlesofassociationandthenamelistofthemembersoftheBoardofDirectors,managementpersonnelorprincipalpartners;

(5)Annualreportsofthelastthreeyearspriortotheapplication;

(6)AletterofpermitissuedbythecompetentauthorityofitshomecountryorterritoryallowingittosetuparepresentativeofficeinChina,oraletterofrecommendationfromtheindustrialassociationofwhichtheapplicantisamember,andbothtypesoflettersshallcontaininformationaboutthepenaltyrecordsoftheapplicantreceivedwithinthreeyearspriortotheapplication;

(7)ApowerofattorneysignedbytheChairmanoftheBoardorGeneralManagerforthechiefrepresentativedesignated;

(8)Theresumeofthedesignatedchiefrepresentativeandotherrelevantsupportingdocuments;

(9)OtherdocumentsandmaterialsrequiredbyCIRC.

Thephotocopyofthebusinesslicenseorthecertificateofauthorizationforinsurancebusiness,ortheregistrycertificateshallbesubjecttonotarizationcertifiedbytheapplicant’shomecountryorterritoryorverificationbytheresidentEmbassyorConsulateofthePeople’sRepublicofChinaintheapplicant’shomecountryorterritory.

Article8

TheapplicantshallsubmititsapplicationdocumentstoCIRC.CIRCshallhandlealltheapplicationsaccordingtothefollowingconditions:

(1)Ifthedocumenthasamistake(mistakes)thatcanbecorrectedonthespot,theapplicantshallbeallowedtomakethecorrectiononthespot;

(2)Ifthedocumentisincompleteordoesnotcomplywithregulatoryformats,theapplicantshallbeinformedonthespotorwithinfivedaysofalltherequiredcorrectionsatonetime.Iftheapplicantisnotinformedofsuchinformationinthisperiod,thenitisassumedthattheapplicationisacceptedforreviewonthedayitisreceivedbyCIRC;

(3)Ifthedocumentiscompleteandcomplieswithregulatoryformats,oraftertheapplicant,uponrequest,hassubmittedadditionaldocumentsandmadenecessarycorrections,thentheapplicationshallbeacceptedforreview.

WhetherornotCIRCacceptstheapplicationforreview,CIRCshallissueawrittendocumentwithdesignatedstampanddateindicated.

Article9

Within20daysfromthedateofreceivingtheapplicationletter,CIRCshallmakeadecisiononwhetherornottoapprove.Ifthedecisioncannotbemadeinthesaid20days,attheapprovaloftheChairmanofCIRC,thesaidperiodcanbeextended10moredaysandtheapplicantshallbeinformedofreasonsfortheextension.

IfCIRCdecidestoaccepttheapplication,itshallissueanapprovaldocument;incaseofdisapproval,CIRCshallstatereasonsinawrittendocument.

Article10

Afterarepresentativeofficereceivingtheofficialdocumentofapproval,itshallregisterwiththeStateAdministrationofIndustryandCommerceinlinewithrelevantrules.

Therepresentativeofficeshallmoveintoitsofficialpremiseswithinthreemonthsfromthedateonwhichtheapprovaldocumentisissued;theapprovaldocumentshallautomaticallybecomeinvalidifthesaiddeadlineisnotobserved.

Article11

AnyforeigninsuranceinstitutionthathasalreadyestablishednolessthantworepresentativeofficesinChinashallbeallowedtoapplytoCIRCtoappointoneofitsrepresentativeofficesasageneralrepresentativeoffice.

Article12

Inapplyingtoappointthegeneralrepresentativeoffice,foreigninsuranceinstitutionsshallsubmitaletterofapplicationaddressedtotheChairmanofCIRCandsignedbyitsChairmanoftheBoardofDirectorsorGeneralManageroftheconcernedinsuranceinstitution.

Theapplicationforsettingupageneralrepresentativeofficeissubjecttothesamerulesgoverningtheapplicationofarepresentativeoffice.

ChapterⅢSupervisionandAdministration

Article13

Theofficialtitleoftherepresentativeofficeshallbearrangedinthefollowingorder:nameoftheforeigninsuranceinstitution+nameofthecitywheretherepresentativeofficeistobelocated+representativeoffice;Theofficialtitleoftherepresentativeofficeshallbearrangedinthefollowingorder:nameoftheforeigninsuranceinstitution+generalrepresentativeofficeinChina.

Article14

Excepttheprincipalresponsibleperson,othermajorstaffmembersshallbeentitled“Representative”or“DeputyRepresentative”.

Article15

EmployeesofrepresentativeofficeshallabidebyChineselawsandregulations,withhighintegrityandcleanrecord.

Article16

Ageneralrepresentativeshallhaveaworkexperienceabove8yearsandholdajuniorcollegedegreeorahigheracademicdegree;achiefrepresentativeshallhaveaworkexperienceabove5years,andholdajuniorcollegedegreeorahigheracademicdegree.

Withoutajuniorcollegedegree,thegeneralrepresentativeorchiefrepresentativeshallhaveaworkexperienceabove10yearsintheinsurancebusiness.

Article17

Amaximumofthreeemployeesofforeignnationalityareallowedineachrepresentativeoffice.

Article18

Arepresentativeofficeanditsemployeesshallnotenterintoanyagreementorcontractwithanylegalornaturalpersons,whichmightgenerateanincometotherepresentativeofficeortheforeigninsuranceinstitutionitrepresents,andshallnotbeinvolvedinbusinessactivitiesofanykind.

Article19

Arepresentativeofficeshallhaveofficialpremises,necessaryofficefacilitiesandfull-timestaff.

Article20

TheGeneralRepresentativeorChiefRepresentativeshallnotworkintwoormorerepresentativeofficesoranybusinessinstitutioninChina.

Article21

TheGeneralRepresentativeorChiefRepresentativeshallattendtothedailyactivitiesoftherepresentativeofficeonapermanentbasis.Ifheorsheconsecutivelystaysawayfromtherepresentativeofficeforaperiodormorethanonemonth,heorsheshalldelegatehisorherresponsibilityastheGeneralRepresentativeorChiefRepresentativetoapersonspeciallyappointed,andsubmitawrittenreporttothelocalbranchofficeofCIRC.

Article22

ArepresentativeofficeshallsubmittwocopiesofitsannualworkreportofthepreviousyearbeforetheendofeachFebruarytotheCIRC’slocalbranchoffice,whoshallthenforwardthereporttoCIRC’sheadoffice.

TheworkreportshallfollowtheformatprescribedbyCIRC.

Article23

ArepresentativeofficeshallsubmittheannualreportoftheforeigninsuranceinstitutionitrepresentstobothCIRCandCIRC’slocalbranchofficewithinsixmonthsaftertheendofeachaccountingyearoftheforeigninsuranceinstitution.

Article24

IfanyfollowingmajoreventoccursinaninsuranceinstitutionthathasmaintainedarepresentativeofficeinChina,therepresentativeofficeshall,within10daysaftertheoccurrenceoftheevent,submitawrittenreporttoCIRCandcopythereporttoCIRC’slocalbranchoffice.

(1)Achangeinitsarticlesofassociation,registercapital,andregisteredbusinessaddress;

(2)Divisionormergerorchangeoftopmanagement;

(3)Seriouslossesresultedinbusinessoperation;

(4)Penaltiesimposedforviolationsoflawsandregulations;

(5)Majorregulatoryactionstakenagainstitbytheregulatoryauthoritiesofitshomecountryorterritory;

(6)Othermatterswhichmayseriouslydisruptbusinessoperationoftheforeigninsuranceinstitution.

Article25

IncaseofchangingaGeneralRepresentativeorChiefRepresentative,therepresentativeofficeshallapplytoCIRC,andsubmitthefollowingdocuments:

(1)AletterofapplicationaddressedtotheChairmanofCIRC,andsignedbyitsChairmanoftheBoardofDirectorsorGeneralManageroftheconcernedinsuranceinstitution;

(2)PowerofattorneyoftheproposedGeneralRepresentativeorchiefrepresentativesignedbytheChairmanoftheBoardofDirectorsorGeneralManager;

(3)Proofofpersonalidentitycertificates,certificateofacademicdegreeandresumeoftheproposedGeneralRepresentativeorChiefRepresentative.

Article26

Ifaforeigninsuranceinstitutionintendstoterminateitsrepresentativeoffice’soperation,itshallsubmitaletterofapplicationaddressedtotheChairmanofCIRC,andsignedbyitsChairmanoftheBoardofDirectorsorGeneralManageroftheconcernedinsuranceinstitution.

Article27

Ifaforeigninsuranceinstitutionintendstochangethenameofitsrepresentativeoffice,itshallsubmitaletterofapplicationaddressedtotheChairmanofCIRC,andsignedbyitsChairmanoftheBoardofDirectorsorGeneralManageroftheconcernedinsuranceinstitution,togetherwithotherrelevantprovingdocumentsabouttherenaming.

Article28

UnderthesituationstipulatedinArticle25,Article26,andArticle27,CIRCshallmakeadecisiononwhethertoapproveordisapproveoftheapplicationwithin20daysfromthedateofreceivingacompletesetofapplicationdocuments.

Ifadecisionofapprovalismade,itshallissueanapprovaldocument;ifadecisionofdisapprovalismade,itshallnotifytheapplicantinwritingandgivethereasons.

Article29

Arepresentativeofficecanchangeitsofficelocationwithinthesameadministrativeareaitresidesonly.

TheconcernedrepresentativeofficeshallsubmitCIRC’slocalbranchofficeofitsnewofficeaddress,telephoneandfaxnumberswithin5daysfromthedateofchanging.

Article30

Incaseofchanging,increasingorreducingthenumberofRepresentatives,DeputyRepresentatives,orforeignemployees,theconcernedrepresentativeofficeshallreporttoCIRC’slocalbranchofficewithin5daysfromthedateofchanging,andsubmittheproofofpersonalidentitycertificates,certificateofacademicdegreeandresumeofthenominatedpersonnel.

Article31

Whenarepresentativeofficeisapprovedtobechangedtoageneralrepresentativeoffice,theoriginalrepresentativeofficeiscancelledautomatically.ThegeneralrepresentativeofficeshallapplytotheStateAdministrationoftheIndustryandCommerceforcancellationoftheregistrationoftherepresentativeofficewithinonemonthfromthedateofCIRC’sapprovalwithinonemonthfromthedateofCIRC’sapproval.

Article32

IfageneralrepresentativeofficeistheonlyrepresentativeofficeinChinaaftertheinsuranceinstitutionitrepresentswithdrawsallotherrepresentativeoffices,thegeneralrepresentativeofficeshallbechangedintoarepresentativeoffice.

ThegeneralrepresentativeofficeshallapplytoCIRCbysubmittinganapplicationletterregardingsuchchangesignedbytheChairmanoftheBoardofDirectorsorGeneralManageroftheconcernedforeigninsuranceinstitution.Within20daysfromthedateofreceivingtheapplicationletter,CIRCshallmakeadecisiononwhetherornottoapprove.IfCIRCdecidestoaccepttheapplication,itshallissueanapprovaldocument;incaseofdisapproval,CIRCshallstatereasonsinawrittendocument.

Whenageneralrepresentativeofficeisapprovedtobechangedtoarepresentativeoffice,theoriginalgeneralrepresentativeofficeiscancelledautomatically.TherepresentativeofficeshallapplytotheStateAdministrationoftheIndustryandCommerceforcancellationofitsregistrationwithinonemonthfromthedateofCIRC’sapproval.

Article33

AfterarepresentativeofficeoftheforeigninsuranceinstitutionisterminatedbytheCIRC,alltheissuesleftunsettledshallbetakenoverandhandledbyitsgeneralrepresentativeofficeinChina;ifthereisnosuchageneralrepresentativeoffice,responsibilitiesonallissuesleftunsettledshallbetakenoverandhandledbytheforeigninsuranceinstitution’sotherrepresentativeofficesinChina;ifthereisnoanyotherrepresentativeofficeinChina,responsibilitiesonallissuesleftunsettledshallbebornebytheforeigninsuranceinstitutionitself.

Article34

CIRCanditslocalbranchofficesconductgeneralsupervisionandannualinspectionovertherepresentativeofficesofforeigninstitutionsinregardtothefollowingissues:

(1)Thecompletenessoftheproceduresforthechangesmadebytherepresentativeoffice;

(2)ThetruthfulnessofthedocumentsandmaterialssubmittedtoCIRC;

(3)Thecompletenessoftheproceduresfortheappointmentsorchangesofstaffmembersofrepresentativeoffices;

(4)Whetherornotrepresentativeofficesareconductingbusinessactivities;

(5)OtheritemsrequiredbyCIRCanditslocalbranchoffices.

ChapterⅣLegalLiability

Article35

Anyrepresentativeofficeestablishedwithoutapproval,inviolationofcertainprovisionsoftheseRules,shallbebannedbyCIRCinaccordancewithlaw.

Article36

IfarepresentativeofficeisengagedinfinancialbusinessactivitiesinviolationoftheseRules,itshallbepunishedbyCIRCinlinewithrelevantlawsandregulations.Ifarepresentativeofficeisengagedinprofit-seekingoperationalactivitiesotherthaninsurancebusiness,itshallbeimposedadisciplinarywarningorafinebelowRMB300,000yuan.

Article37

IfarepresentativeofficefailstosubmitrelevantreportsordocumentsasstipulatedinArticle22,23,24oftheseRulestoCIRC,itshallbeimposedawarningandorderedtomakecorrectionbyCIRC’slocalbranchoffice.

Article38

EmployeesofarepresentativeofficebeingwithdirectresponsibilityforactivitiesviolatingtheseRulesshallbeimposedbyCIRCwithadisciplinarywarningand/orafinebelowRMB5000yuan,accordingtotheseriousnessofthecases.

Article39

CIRCmayissueadisciplinarywarningtoarepresentativeofficeinvolvedinprovidingfalseinformationorconcealingimportantfacts.

Article40

CIRCmayordertherepresentativeoffices,foundinviolationofotherprovisionsstipulatedintheseRules,tomakecorrections;thosewhodonotmakecorrectionswithinaprescribedtimeperiodshallbeissuedadisciplinarywarning.

ChapterⅤSupplementaryProvisions

Article41

TheseRulesshall,mutatismutandis,applytotherepresentativeofficesestablishedinthemainlandbyinsuranceinstitutionsfromtheHongKongSpecialAdministrativeRegion,theMacaoSpecialAdministrativeRegion,andTaiwanregion.

Article42

TheseRulesshall,mutatismutandis,applytotheresidentofficesofforeigninsuranceinstitutionsapprovedtoestablishinChinabyCIRC.

Article43

Theterms“above”,“below”and“within”usedtoindicateathresholdnumbershallincludethenumberitself.

Article44

TheapprovalandreportingperiodsprescribedintheseRulesconcerninglicensingandreportingperiodsrefertoworkingdays,whichexcludeweekendsandpublicholidays.

Article45

CIRCshallberesponsiblefortheinterpretationoftheseRules.

Article46

TheseRulesshallbeeffectiveasofMarch1,2004,andtheRulesonAdministrationofRepresentativeOfficesofForeignInsuranceInstitutions,issuedbyCIRConNovember26,1999shallberepealedsimultaneously.
